Our Terms and Conditions The following terms and conditions apply to all web site design and software services offered by ASCII Software Ltd. By ordering services from ASCII Software you are agreeing to the following terms and conditions.

1. General Terms & Conditions
a) We reserve the right to refuse to construct a web site or software project which we may judge as unfit due to content or otherwise. This includes, but is not limited by, sites containing adult oriented material such as pornography, sites which promote hatred towards persons belonging to any ethnic group, religion or sexual orientation and sites which infringe copyright or are contrary to UK or international laws.
b) The acceptance of a commission shall be deemed as a contractual agreement between the client and ASCII Software Ltd.
c) ASCII Software cannot always guarantee to start work immediately on a commission but will arrange a date with the client as to when work can commence along with an estimated completion date.
d) All material, including text and images, supplied by the client and used in the construction of the client's web site or software project, will remain the client's property. All such material will be assumed to be the property of the client and free to use without fear of breach of copyright laws.
e) If at any point during the software or web site development cycle a client wishes to cancel, they may do so but will be invoiced an amount that ASCII Software judges to be proportional to the amount of work completed on the commission up until the point written noticed of cancellation is received.
f) If, during the software or web site development cycle, the client does not supply the content required in order to complete the commission within a reasonable amount of time, ASCII Software will consider that the client wishes to cancel the commission and will invoice the client in accordance with clause 1(e) above.
g) For non account clients we require a payment of 50% of the estimated costs in advance with the remainder payable upon completion. ASCII Software expects payment by cheque, direct deposit, PayPal, credit card or cash within 14 days of the date on the invoice.
h) Any payment returned by the bank or credit card company will incur a £25 administration charge. This will be invoiced and will be added to the total outstanding debt owed by the customer.
i) ASCII Software does not undertake to maintain or update a client's web site or software project as part of the design commission. If a client wishes ASCII Software to maintain or update a web site or software project as a separate commission, ASCII Software will negotiate with the client a maintenance contract appropriate to the amount of work required. Web site and software maintenance may also be undertaken on a time and materials basis if the client so wishes.
j) ASCII Software reserves the right to alter prices at any time without notice. If a client has commissioned any services from ASCII Software prior to a change in prices, that commission will not be subject to any increase, but any subsequent commission may be subject to an increase.
k) By agreeing to these terms and conditions your statutory rights are not affected. You also agree that all litigation will be conducted within the jurisdiction of the United Kingdom and associated laws and regulations.
l) ASCII Software reserves the right to change or modify any of the terms contained within these Terms and Conditions without notice.

2. Web Design & Development - Additional Terms
a) The copyright for all non software material provided by ASCII Software , such as HTML code, graphics, photographs and text, will remain the property of ASCII Software until such time as payment has been made in full whereupon they will become the property of the client.
b) ASCII Software makes every effort to design pages which display acceptably in the most popular current browsers, but cannot accept responsibility for pages which do not display acceptably in new versions of browsers released after pages have been designed.
c) ASCII Software will submit a client's web site to several of the major search engines as part of the design commission. If a client wishes ASCII Software to promote a web site as a separate commission, ASCII Software will make every reasonable effort to promote the web site effectively but cannot guarantee high placings in search engine results.
d) ASCII Software can accept no responsibility or liability if any search engine, online directory or search site, submitted to as part of a web site promotion commission, chooses not to list a client's web site.
e) ASCII Software will initially place the client's web site on one of ASCII Software 's demonstration servers in order that the client may view and comment upon the web site's progress. When both ASCII Software and the client agree that the web site meets the criteria agreed during the commissioning process, ASCII Software will invoice the client for the remaining amount due for the commission. On receipt of payment, ASCII Software will publish the web site on the client's server, or provide the source code for the site via a download (or cd-rom disk) for the client to upload.

3. Custom Software/Application Projects - Additional Terms
a) The copyright for software material provided by ASCII Software, such as source code, compiled code, design documentation and program executables, will remain the property of ASCII Software until such time as an additional payment has been made in full for our intellectual property rights whereupon they will become the property of the client. In all other cases ASCII Software will extend to the client an unconditional end-user license for such software.
b) When both ASCII Software and the client agree that the software project meets the criteria agreed during the commissioning process, ASCII Software will invoice the client for the remaining amount due for the commission. On receipt of payment, ASCII Software will supply the software project, with end-user installer if appropriate, via a download (or cd-rom disk) for the client to use.

4. In The Unlikely Event You Are Not Completely Satisfied
